Welcome to eSchool.ng, a cloud-based school management and learning platform developed and operated by AKI Solutions Ltd (referred to as "eSchool.ng," "we," "us," or "our").

eSchool.ng provides software tools for school administration, academic management, fee collection, communication, and learning — designed specifically for Nigerian nursery, primary, and secondary schools.

These Terms and Conditions ("Terms") govern your access to and use of the eSchool.ng platform, including our website at eschool.ng, our web application, mobile applications, and all related services (collectively, the "Platform").

The following terminology applies to these Terms and Conditions, Privacy Statement, Disclaimer Notice, and any or all Agreements. Any use of the below terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

"Client", "You" and "Your"

Refers to you, the person accessing this website and accepting the Company's terms and conditions.

"The Company", "Ourselves", "We", "Our" and "Us"

Refers to eSchool.ng, operated by AKI Solutions Ltd.

"Party", "Parties" or "Us"

Refers to both the Client and ourselves, or either the Client or ourselves.

Platform

The eSchool.ng website, web application, mobile applications, and all associated software, services, and features.

School

Any educational institution that registers and uses the Platform under a valid subscription.

Administrator

An authorised representative of a School who manages the School's account, including proprietors, principals, school owners, and their delegated staff.

User

Any person who accesses the Platform, including Administrators, teachers, bursars, parents, and students.

Subscription

A paid or trial plan granting a School access to specific Platform features for a defined period.

Content

All data, text, records, reports, documents, and other materials uploaded to or generated on the Platform by Users.

Personal Data

Any information relating to an identified or identifiable natural person, as defined under applicable Nigerian data protection legislation.

All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services/products, in accordance with and subject to prevailing law of Nigeria.

By registering for an account, subscribing to a plan, or otherwise accessing or using the Platform, you confirm that:

• You have read, understood, and agree to be bound by these Terms.
• You are at least 18 years of age, or you are accessing the Platform on behalf of a registered School and have authority to bind that School to these Terms.
• You are acting in compliance with all applicable Nigerian laws, regulations, and guidelines.
• If you are accepting these Terms on behalf of a school or organisation, you represent and warrant that you have the authority to do so.

We employ the use of cookies. By using eSchool‑ng's website you consent to the use of cookies in accordance with eSchool‑ng's privacy policy.

Most modern interactive websites use cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of that area and ease of use for those visiting. Some of our affiliate and advertising partners may also use cookies.

The following organizations may link to our website without prior written approval:

• Government agencies
• Search engines
• News organizations
• Online directory distributors when they list us in the directory may link to our website in the same manner as they hyperlink to the websites of other listed businesses
• System-wide accredited businesses — except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups, which may not hyperlink to our website

These organizations may link to our home page, to publications, or to other website information so long as the link:

• Is not in any way misleading
• Does not falsely imply sponsorship, endorsement, or approval of the linking party and its products or services
• Fits within the context of the linking party's site

We may consider and approve in our sole discretion other link requests from organizations not listed above. Approved organizations may hyperlink to our website in the following ways:

• By use of our corporate name
• By use of the uniform resource locator (web address) being linked to
• By use of any other description of our website or material being linked to that makes sense within the context and format of content on the linking party's site

Through this website you are able to link to other websites which are not under the control of eschool‑ng.com. We have no control over the nature, content, and availability of those sites. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them.

Every effort is made to keep the website up and running smoothly. However, we take no responsibility for, and will not be liable for, the website being temporarily unavailable due to technical issues beyond our control.

To access the Platform, a School must register and create an account. By registering, you agree to:

• Provide accurate, current, and complete information about your school during registration.
• Maintain and promptly update your account information to keep it accurate.
• Keep your login credentials confidential and not share them with unauthorized individuals.
• Accept responsibility for all activities that occur under your account.
• Notify eSchool.ng immediately at info@eSchool.ng-ng.com of any unauthorized use of your account or any security breach.

eSchool.ng reserves the right to refuse registration, suspend, or terminate any account at its discretion, particularly where information provided is found to be inaccurate, incomplete, or fraudulent.

Subject to your compliance with these Terms and payment of applicable subscription fees, eSchool.ng grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the internal school management and educational purposes of your registered School.

You acknowledge and agree that:

• The Platform is intended for school management and educational use only. Commercial use outside of this scope is not permitted.
• You are responsible for ensuring that all Users added to your account — including teachers, parents, and students — comply with these Terms.
• You must not use the Platform in any way that disrupts, damages, or impairs the integrity or performance of the Platform.
• eSchool.ng may update, modify, or discontinue features of the Platform at any time, with reasonable notice where practicable.
• Scheduled maintenance may result in temporary service interruptions. We will endeavour to provide advance notice of planned downtime.

Access to paid features of the Platform is subject to the purchase of a Subscription plan. By subscribing, you agree to the following:

9.1 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are quoted in Nigerian Naira (NGN) and are inclusive of applicable taxes unless stated otherwise.

9.2 Payment

Payment must be completed through the approved payment channels provided on the Platform. eSchool.ng reserves the right to suspend access to paid features if payment is not received by the due date.

9.3 Renewals

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings.

9.4 Refund Policy

Subscription fees are generally non-refundable. However, eSchool.ng may, at its sole discretion, issue a refund or credit in cases of billing errors or service unavailability caused directly by eSchool.ng. Refund requests must be submitted within 14 days of the charge in question.

9.5 Price Changes

eSchool.ng reserves the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price increase. Continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

eSchool.ng is committed to protecting the privacy and security of all data entrusted to us by Schools and their Users. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.1 School Data Ownership

All data you upload to the Platform — including student records, academic results, financial records, and communications — remains the property of the School. eSchool.ng acts as a data processor on your behalf and does not claim ownership of your data.

10.2 Data Processing

By using the Platform, you grant eSchool.ng a limited license to process, store, and transmit your data solely for the purpose of providing and improving the Platform services. eSchool.ng will not sell, rent, or share your data with third parties except as required to deliver the Platform services or as required by law.

10.3 Student Data

Schools are responsible for obtaining all necessary consents from parents and guardians before inputting student Personal Data into the Platform. eSchool.ng processes student data strictly in accordance with the School's instructions and applicable law.

10.4 Data Security

eSchool.ng implements industry-standard security measures to protect data stored on the Platform, including encryption, access controls, and regular security audits. However, no digital platform can guarantee absolute security, and Schools are encouraged to maintain their own data security practices.

10.5 Nigerian Data Protection Compliance

eSchool.ng operates in compliance with the Nigeria Data Protection Act 2023 (NDPA) and any regulations issued by the Nigeria Data Protection Commission (NDPC). Schools processing Personal Data of Nigerian residents through the Platform must also ensure their own compliance with applicable data protection obligations.

All intellectual property rights in and to the Platform — including but not limited to the software, source code, design, interface, features, logos, branding, and documentation — are and remain the exclusive property of AKI Solutions Ltd and its licensors.

Nothing in these Terms transfers any intellectual property rights to you. Your subscription grants you only a limited license to use the Platform as described herein.

• You may not copy, reproduce, modify, distribute, or create derivative works from the Platform or any part of it.
• You may not reverse engineer, decompile, or attempt to extract the source code of the Platform.
• You may not remove or alter any copyright, trademark, or proprietary notices on the Platform.
• The eSchool.ng name, logo, and brand marks are registered trademarks and may not be used without our prior written consent.

You retain all rights to the Content you upload to the Platform. By uploading Content, you grant eSchool.ng a limited license to use, process, and store that Content solely for the purpose of providing the Platform services.

You agree not to use the Platform for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. Without limiting the foregoing, you must not:

• Upload, transmit, or share content that is defamatory, obscene, offensive, or violates the rights of any third party.
• Use the Platform to harass, abuse, intimidate, or harm any individual, including students, parents, teachers, or staff.
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or connected systems.
• Use automated scripts, bots, scrapers, or other tools to extract data from the Platform without authorisation.
• Introduce malware, viruses, or any other harmful code into the Platform.
• Misrepresent your identity or impersonate another user or school.
• Use the Platform to process, store, or transmit data that violates Nigerian law or any applicable regulation.
• Resell, sublicense, or provide access to the Platform to third parties not covered by your subscription.
• Use student Personal Data for any purpose outside the direct educational and administrative needs of the registered School.

eSchool.ng reserves the right to investigate and take appropriate action against any violation, including suspending or terminating access to the Platform and reporting violations to relevant authorities where required by law.

To the fullest extent permitted by applicable law, eSchool.ng and its directors, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
• Loss of data, revenue, profits, or business opportunities, even if eSchool.ng has been advised of the possibility of such damages.
• Damages resulting from unauthorized access to or alteration of your data caused by your failure to maintain adequate security.
• Service interruptions due to scheduled maintenance, force majeure events, or circumstances beyond eSchool.ng's reasonable control.

In no event shall eSchool.ng's total aggregate liability to you or your School exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

14.1 Termination by You

You may terminate your account at any time by contacting us at info@eSchool.ng-ng.com or through your account settings. Termination does not entitle you to a refund of any prepaid fees except as expressly provided in Section 9.4.

14.2 Termination by eSchool.ng

eSchool.ng may suspend or terminate your access to the Platform at any time if:

• You breach any provision of these Terms and fail to remedy the breach within 7 days of notice.
• Your account has an outstanding unpaid balance beyond the due date.
• We are required to do so by applicable law or a competent authority.
• We reasonably believe that continued access poses a risk to the Platform, other users, or third parties.

14.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. eSchool.ng will retain your data for a period of 90 days following termination, during which you may request an export. After this period, your data will be permanently deleted unless retention is required by law.

Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — shall remain in effect after termination.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be subject to good-faith negotiation between the parties. If such dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

eSchool.ng reserves the right to update or modify these Terms at any time. We will notify registered Schools of material changes by:

• Sending an email notification to the Administrator email address on your account.
• Displaying a prominent notice on the Platform.
• Updating the "Last updated" date at the top of this page.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Platform before the effective date.
